Terms and Conditions

1. Definitions and Interpretation

1.1 "Agreement" means the Service Agreement entered into between HelloDev Pty Ltd ("Provider") and the Client.

1.2 "Services" refers to the provision of Software Developers on Demand (SDOD) and related services.

1.3 "Client" means the entity that engages HelloDev to provide Services under this Agreement.

1.4 "Project" refers to the specific work or tasks undertaken by HelloDev on behalf of the Client.

1.5 "Confidential Information" means any information disclosed by either party that is identified as confidential or that should reasonably be considered confidential.

2. Services and Scope

2.1 HelloDev will provide the Services as outlined in the Service Agreement.

2.2 Any additional services requested by the Client may be subject to a new agreement or an amendment to the current agreement.

2.3 HelloDev reserves the right to adjust service rates as necessary, with prior notification to the Client.

3. Client Obligations

3.1 The Client shall provide all necessary access, information, and support required for HelloDev to deliver the Services effectively.

3.2 The Client is responsible for ensuring that any materials or information provided do not infringe on the rights of third parties.

4. Fees and Payment

4.1 Fees for Services are as outlined in the Service Agreement and the attached rate schedule.

4.2 Invoices will be issued every 7 days with 7-day payment terms unless otherwise agreed in writing.

4.3 In the event of late payment, HelloDev reserves the right to charge interest on overdue amounts at a rate of 2% over base rate per month.

5. Confidentiality

5.1 Both parties agree to maintain the confidentiality of all proprietary and sensitive information disclosed during the term of the Agreement.

5.2 Confidential information may only be disclosed with the express written consent of the disclosing party or as required by law.
